Terms of Service

1. Who these terms are between
You (the client) and Mediaupshift. Your proposal or invoice states whether the work is contracted through our Dubai office or our Delhi office.
2. What we do
Digital marketing services: SEO, paid ads, social media, web development, branding and content, as described in your proposal. The proposal and these terms together are the agreement. If they conflict, the proposal wins.
3. Retainers
Monthly, billed in advance. Starter is month to month. Growth and Authority have a three-month initial term, then month to month. Either side can end a retainer with 30 days' written notice (email counts). Work delivered in the notice period is paid for.
4. Payment
Invoices are due within 7 days. Late payment: we may pause work after 14 days overdue and charge 1.5% per month on the balance. Prices exclude VAT (UAE) and GST (India), which are added at the legal rate.
5. What we need from you
Timely access to accounts, approvals within 5 working days, and accurate information about your business. Delays on your side move the timeline; they don't extend the retainer for free.
6. Results
We don't guarantee rankings, traffic, leads or revenue. Nobody honest can, because Google decides. We do guarantee the work in your proposal is delivered by senior staff, reported monthly, and that we'll tell you the truth about what's working.
7. Content and ownership
You own the deliverables once paid for: pages, articles, designs, ad accounts and the data in them. We keep the right to show anonymised results as case studies unless you tell us not to. We don't name clients without written permission.
8. Third-party platforms
Google, Meta, LinkedIn and others change their rules. We follow their policies. If a platform suspends an account for a reason outside our control, we'll help you appeal, but we're not liable for the suspension.
9. Liability
Our total liability under a retainer is capped at the fees you paid us in the three months before the claim. We're not liable for indirect or consequential loss (lost profit, lost data, reputational loss).
10. Confidentiality
We keep your business information confidential during and after the work. You keep our pricing and methods confidential.
11. Ending the agreement
By notice (clause 3), or immediately by either side if the other breaches these terms and doesn't fix it within 14 days of being told.
12. Law and disputes
Work contracted through the Dubai office: the laws of the Emirate of Dubai and the federal laws of the UAE; courts of Dubai. Work contracted through the Delhi office: the laws of India; courts of New Delhi. We'll try to sort any dispute out by a call first.
